Committee on Bylaws
This committee is charged with reviewing and modifying the Bylaws as needed as the Association grows and evolves. The committee makes recommendations for changes, which are then reviewed and approved (or rejected) by the Governing Council. If the GC approves the changes, then the changes are promulgated on the schedule stated in the Bylaws.
To amend or change the Bylaws, the changes must be published in an official APHA publication not less than 30 days prior to the mailing of the ballots to the individual constituents by the Administrative Office. The amendment must have received prior approval by the Governing Council in the same manner as provided in the Bylaws for amendments to the Bylaws. The closing date for the reception of ballots shall be 45 days from the date of the mailing of the ballots by the Administrative Office. An amendment shall become effective only upon receiving an affirmative vote on two-thirds of the ballots cast by the individual constituents. The president shall designate tellers to count the ballots and to report the result to the Governing Council as provided in the Bylaws.
Amendment or change of the Bylaws requires a two-thirds vote of those voting at the Governing Council, provided that 48 hours prior written notice thereof has been given. The Bylaws may further be amended by a two-thirds vote of those voting at any meeting of the Governing Council called for the purpose, provided that notice thereof shall have been given at least 20 days prior to such meeting.
A good knowledge of the structure and functioning of APHA is most helpful in service on this committee. Usually its membership includes one lawyer and one parliamentarian. There is a conference call of the committee during the summer to consider any recommended changes to the Constitution and Bylaws. If during the Governing Council meeting on Saturday a change to the Constitution & Bylaws is recommended, a meeting of the committee is held during the Annual Meeting to consider these proposed changes. Expenses for this committee are not reimbursed. Members are appointed by the Executive Board for a term of three years.
